Terms of Service

1. Acceptance of terms

By accessing or using Ormind ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, on the web and in our mobile apps.

2. Description of the Service

Ormind is an AI-powered platform that provides:

• AI conversation and assistance capabilities
• Deep research with answers delivered as interactive documents
• Document analysis, data processing, and code execution
• Shared workspaces for collaborating with other people and with the AI
• Sharing of results through invitations and public links

3. User accounts and eligibility

To use Ormind, you must:

• Be at least 18 years old, or have parental consent
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be responsible for all activities under your account

You are solely responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You can delete your account at any time from the app's settings.

4. Acceptable use policy

You agree not to use Ormind for:

• Illegal activities or content that violates applicable laws
• Generating harmful, abusive, or discriminatory content
• Creating or distributing malware, viruses, or malicious code
• Attempting to gain unauthorized access to systems or accounts
• Violating intellectual property rights of others
• Spamming or unsolicited commercial communications
• Bypassing or attempting to bypass service limitations

5. Third-party AI models

Answers are generated by large language models operated by third-party providers (such as Anthropic, OpenAI, Google, and Mistral). By sending a message, you direct us to transmit the content needed to answer it to the model you selected. The app asks for your explicit consent before the first such transmission.

• Each provider processes content under its own terms; the list of providers and links to their policies is in our Privacy Policy.
• You may add your own API keys ("bring your own key") for supported providers. You are responsible for those keys' provider terms and any usage charges billed to them by the provider.
• AI output may contain errors. Review it before relying on it.

6. Privacy and data protection

Your privacy is important to us. In short:

• We collect only what is needed to provide the Service
• We store your conversations and files so you can come back to them
• We use industry-standard security measures; API keys you add are encrypted at rest
• We do not sell personal data to third parties

7. Intellectual property rights

Your content

You retain ownership of content you create or upload to Ormind. By using our Service, you grant us a limited license to process, store, and display your content solely for providing our services — including showing it to workspace members you have chosen to share it with.

AI-generated content

Content generated by AI systems through the Service is provided "as is" without warranty. You are responsible for ensuring any AI-generated content you use complies with applicable laws and regulations.

Our Service

The Ormind platform, including its design, functionality, and underlying technology, is owned by us and protected by intellectual property laws.

8. Payment terms

For paid services:

• Payments are processed securely through third-party providers (Stripe)
• Subscriptions renew automatically unless cancelled
• Refunds are handled on a case-by-case basis
• We may change pricing with 30 days notice

You can cancel your subscription at any time through your account settings. Purchases made through the Apple App Store are additionally governed by Apple's terms, and subscriptions bought there are managed and cancelled through your Apple account.

9. Disclaimers and limitations

Service limitations

• AI responses may contain errors or inaccuracies
• Generated content should be reviewed before use
• We do not guarantee availability or performance
• Third-party integrations may have separate terms

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ormind and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the Service

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time by deleting it in the app's settings, or by contacting us.

Sections that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Ormind is operated, without regard to conflict of law principles. If you use the Service as a consumer, nothing in these Terms deprives you of protections granted by the mandatory laws of your country of residence.

13. Changes to these Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Sending email notifications to registered users
• Providing in-app notifications

Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

14. Miscellaneous

Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ormind regarding the Service.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
